Introduction

Welcome to Synesai! These Terms of Service ("Terms") govern your access to and use of Synesai Pty Ltd's cloud-based workflow automation platform, integrations, and related services ("Services"). By registering for a Synesai account, accessing the Services, or by otherwise indicating your acceptance of these Terms (for example, by clicking "I Agree"), you agree to be bound by these Terms on behalf of the business entity you represent (referred to as "Customer", "you" or "your").

If you are agreeing to these Terms on behalf of an organization or company, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority or if you do not agree with these Terms, you must not use the Services.

These Terms form a legal contract between you and Synesai Pty Ltd (ABN 79 692 335 050) ("Synesai", "we", "us" or "our"). In addition to these Terms, you should review our Privacy Policy, which describes how we handle your data. By using our Services, you acknowledge that you have read and understood the Privacy Policy and agree to the collection and use of information as set forth therein.

Eligibility

The Services are intended for business use. You, and any individuals you authorize to use the Services under your account ("Authorized Users"), must be at least 18 years old (or the age of majority in your jurisdiction) and possess the legal capacity to enter into contracts.

You agree to use the Services for business purposes (not as a consumer for personal, family, or household purposes). It is your responsibility to ensure that all use of the Services by your Authorized Users complies with these Terms.

Description of Services

Synesai provides a cloud-based workflow automation platform designed for businesses to turn complex operational processes into inspectable programs. Our Services enable you to define workflows using business requirements, process documents, and system context, connect systems, run deterministic execution paths, and review auditable traces.

Key Features

Workflow Synthesis: Define a workflow using business requirements and process documents, then compile it into a structured program that can be deployed and reused.

Workflow Runtime: Run programs with triggers, checkpoints, retries, sleep/wake behavior, and clear status transitions.

Transparency: See the work, not just the result. Every run shows the full process - inputs, external responses, branches, and outputs. Audit-ready from the start.

Integrations: Connect Synesai with your existing tools including APIs, databases, webhooks, email, Slack, internal systems, and spreadsheets.

Australian Data Residency: Your data is primarily stored in Australia on secure servers, providing the benefit of Australian data residency and the strong privacy protections of Australian law. Certain processing (such as AI features and payment processing) may involve transfers to service providers in other jurisdictions, subject to appropriate safeguards as described in our Privacy Policy.

Support and Maintenance: We provide customer support resources (including documentation, FAQs, and email support) to help you use the Services effectively. We deliver updates, new features, and bug fixes to the platform as they become available.

Service Delivery

The Services are provided over the internet. You will need a reliable internet connection and compatible devices/browsers to access them. We do not provide any hardware or connectivity; it is your responsibility to ensure you have the necessary equipment and internet access.

We reserve the right to add, modify, or remove features at our discretion. While we endeavour to maintain the general utility of the Services, you acknowledge that specific features, interfaces, or functionality may change as the platform evolves.

Account Registration and Responsibilities

Account Setup

To use Synesai, you must create an account and provide required information about your business and administrative users. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. This includes your company name, contact details, billing information, and any other information we may reasonably require.

We reserve the right to suspend or terminate your account if any information provided is false, outdated, or incomplete, or if we suspect fraudulent activity.

Account Security

You are responsible for maintaining the security and confidentiality of your account credentials (username and password). You must not share your login credentials with unauthorized persons. You agree to use strong passwords and to utilize two-factor authentication (2FA) for added security where available.

If you believe your account has been compromised, you must notify Synesai support immediately at [email protected]. We are not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to safeguard your credentials.

Authorized Users

As the Synesai account owner (or Administrator), you may invite or permit other users within your organization, or external advisors (like your accountant), to access the Services under your account. You are responsible for:

  • Managing your Authorized Users' access levels
  • Ensuring each Authorized User abides by these Terms
  • All activities that occur under your account

We recommend you promptly remove or adjust access for any Authorized User who no longer should have access (for example, if an employee leaves your company).

Your Information and Systems

You are responsible for the accuracy, quality, and legality of the data you input into Synesai. By using the Services, you represent and warrant that:

  • You have obtained all necessary consents and rights from any individuals whose personal data or content you input into the system
  • None of your data will infringe any intellectual property or privacy rights of others
  • You will not use the Service to store or transmit any content that is unlawful or violates any regulation

Compliance with Laws

You agree to use the Services in compliance with all applicable laws and regulations. This includes data protection laws, export control laws, and financial regulations relevant to the data you manage on Synesai.

Free Trial

We may offer a 7-day free trial of the Services. During the trial period:

  • You will have access to the Services as described at the time of sign-up
  • No payment is required during the trial period
  • At the end of the trial, you must subscribe to a paid plan to continue using the Services
  • If you do not subscribe, your access will be suspended and your data may be deleted after the data retrieval period

Trial periods are for evaluation purposes only and may be subject to usage limitations. We reserve the right to modify or discontinue free trials at any time.

Acceptable Use Policy

By using Synesai, you agree to the following acceptable use guidelines. You and your Authorized Users must not:

Illegal or Harmful Activity

Use the Services for any unlawful purposes or to promote illegal activities, including using Synesai in connection with fraudulent activities, money laundering, dissemination of malware, phishing, or any activity that is harmful to others or to our systems.

Interference with the Service

Interfere with or disrupt the integrity or performance of the Services or the data contained therein. You must not attempt to probe, scan, or test the vulnerability of our system or network, breach security or authentication measures, or circumvent any usage limits or access controls.

Unauthorized Access

Access (or attempt to access) any portions of the Service or Synesai's systems that you are not allowed to access, including other customers' data or any underlying source code. You should only use APIs or integrations in the manner expressly permitted by us.

Violation of Others' Rights

Use the Service to upload, transmit, or store any content that infringes or misappropriates any third party's intellectual property rights or other rights. You must not use Synesai to harass, defame, threaten, abuse, or violate the privacy of any person.

Excessive or Improper Use

Utilize the Service in a manner that unreasonably burdens our infrastructure or in a way that is not intended. You should not use Synesai as a general file storage service for unrelated content or for purposes outside the scope of business data analysis.

Security Testing

Conduct any security or penetration testing of the Service without our prior written approval.

If Synesai determines that you have violated this Acceptable Use Policy, we reserve the right to remove or disable access to certain data, suspend your account, or terminate the Service for cause.

Third-Party Services and Integrations

One of the benefits of Synesai is the ability to integrate with third-party services and systems.

Optional Integrations

The Service allows you to connect to or interact with third-party providers (for example, Xero, QuickBooks, Excel, Slack, Microsoft Teams, Power BI, and other tools). These integrations are typically provided to enhance functionality and are enabled at your discretion.

Separate Agreements

Third-party services are governed by their own terms and privacy policies. When you choose to integrate a third-party service with Synesai, you are responsible for reviewing and complying with those third-party terms. Synesai is not a party to your agreements with those providers, and we do not endorse or assume responsibility for third-party services.

Data Sharing and Authorization

By enabling an integration, you authorize Synesai to exchange relevant data with the third-party service as needed to perform the integration. We will only share data with third-party services to the extent necessary to fulfill your integration requests. You are responsible for ensuring you have the right to share any data with these external services.

No Control or Liability

Synesai does not control the operation, features, or security of third-party services. We cannot guarantee that any third-party integration will remain available, uninterrupted, or error-free. You agree that Synesai is not responsible or liable for issues arising from third-party services, including any data loss, data breach, errors, or downtime related to those services.

Integration Availability

We reserve the right to add, modify, or discontinue integrations with third-party services at any time. We will endeavor to give you notice if an integration you rely on is being discontinued.

AI Features and Disclaimers

AI-Powered Functionality

Our platform uses artificial intelligence and machine learning to process your data, run calculations, analyse documents, and generate insights. These AI features are designed to assist your decision-making by providing calculated results with full transparency.

Not Professional Advice

You acknowledge that Synesai is not providing legal, tax, accounting, or financial advice. Any calculations, analyses, workflow outputs, or insights provided by the Services are for general informational purposes and convenience. You should consult professional advisors for guidance tailored to your situation.

No Guarantee of Accuracy

While we design the Services to provide inspectable, calculated results, we do not warrant that outputs will be error-free, complete, or suitable for any particular purpose. You are responsible for reviewing and verifying any AI-generated results before making business decisions.

Transparency and Audit Trails

Our platform shows you how every workflow run was built - including inputs, external responses, branches, and processing steps. This transparency is designed to help you verify results, but the responsibility for using this information appropriately remains with you.

Zero AI Training

We have zero-retention agreements with our AI providers. Your data is never used to train AI models.

AI Model Selection and Credit Usage

We continuously evaluate and update the AI models powering our Services to provide the best available capabilities. We reserve the right to change, upgrade, or substitute AI models for any operation at our sole discretion and at any time without notice.

The credit cost of AI-powered operations may vary based on the underlying models used. As we adopt newer or different models, the number of credits consumed for similar tasks may increase or decrease to reflect the actual cost of processing. While we endeavor to maintain consistent credit consumption where possible, you acknowledge that credit usage for comparable operations may change over time as models evolve.

Beta Features and Services

Beta Access

From time to time, we may offer early access to beta features or services for evaluation. Beta features are identified as "Beta", "Preview", "Early Access", or similar designations.

Beta Disclaimers

Beta features are provided "AS IS" and "AS AVAILABLE" without any warranties of any kind. Beta features:

  • May contain bugs, errors, or other issues
  • May not function as expected or as described
  • May be modified or discontinued at any time without notice
  • Are not covered by our standard support or service level commitments

Beta Feedback

Your feedback on beta features is welcome but optional. Any feedback you provide may be used by us to improve the Services without compensation to you.

No Reliance

You should not rely on beta features for critical business operations. We recommend maintaining alternative processes while evaluating beta functionality.

Ownership and Data Rights

Your Data

You retain all rights to the business data, content, and materials that you (or your Authorized Users) upload or submit to the Services ("Customer Data"). Synesai does not claim ownership of your Customer Data.

These Terms grant Synesai a non-exclusive, worldwide, royalty-free license to host, store, transfer, display, analyse, and otherwise process your Customer Data solely as necessary to:

  • Provide the Service to you
  • Fulfill our obligations under these Terms
  • Improve and develop the Services

This license extends to our trusted third-party sub-processors strictly for the purpose of providing their services to us. We will not use or disclose your Customer Data except as described in these Terms, our Privacy Policy, or as you expressly authorize.

Anonymized Data

Any anonymized or aggregated data that we derive from Customer Data (which cannot identify you or any individual) is not considered personal data and may be used by us for our legitimate business purposes, including improving the Services and generating industry insights.

Our Intellectual Property

Except for your data, all rights, title, and interest in and to the Synesai Services and software, including all intellectual property rights (copyrights, trademarks, trade secrets, patents) are and will remain the exclusive property of Synesai and its licensors.

You must not (and must not allow any third party to):

  • Copy, modify, distribute, or create derivative works of our software
  • Reverse engineer, decompile, or attempt to discover source code
  • Remove or obscure any proprietary notices on the Service
  • Use our trademarks, logos, or brand elements without prior written permission

Feedback

If you provide any feedback or suggestions to Synesai regarding the Services, we may use and incorporate those suggestions without any obligation to you. Any enhancements or modifications based on your feedback are our intellectual property.

Data Protection

Both parties agree to handle personal data within Customer Data in accordance with applicable data protection laws. Synesai will implement and maintain appropriate technical and organizational measures to protect Customer Data as detailed in our Privacy Policy.

For enterprise customers, a separate Data Processing Addendum (DPA) is available upon request that incorporates Standard Contractual Clauses and meets GDPR/UK GDPR requirements.

Data Backups

We perform regular backups of Customer Data to prevent loss. However, you acknowledge that it is good practice for you to export and backup your critical data as well.

Fees, Payment, and Taxes

Subscription Fees

Synesai is offered as a subscription service. You agree to pay all applicable fees for the subscription plan you select, as described in your order form or separate agreement. Fees may be charged based on:

  • Number of users
  • Usage tiers and thresholds
  • Monthly or annual billing cycles

Unless otherwise stated, fees are billed in advance.

Usage-Based Tiers

Where usage exceeds your plan's fair use thresholds consistently, we may recommend or automatically transition your account to the appropriate tier after notifying you.

Credit Consumption

Your subscription includes a monthly credit allowance. Credits are consumed when you use the Services, including but not limited to:

  • Processing messages and queries
  • Workflow synthesis and execution
  • AI-powered computations and analysis
  • Synchronizing data from connected integrations (such as APIs, databases, ERPs, or spreadsheets)
  • Data storage

If your usage exceeds your allotted credits in a billing period, you will be charged for overages at the rates specified in your order form or separate agreement.

The number of credits consumed by specific operations may change over time as we update the AI models powering our Services. We reserve the right to adjust credit consumption rates for any operation at our discretion to reflect changes in underlying costs. Such adjustments do not constitute a change to your subscription fees or per-credit pricing and do not require prior notice.

Payment Method

You must provide a valid payment method (such as a credit card) and authorize us (or our third-party payment processor) to charge it for the recurring subscription fees. If your payment information changes, you must promptly update it.

If we cannot process payment, we will notify you. If payment remains delinquent after a grace period (typically 14 days), we reserve the right to suspend or terminate your access.

Automatic Renewal

Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. We will charge your payment method for each renewal term at the then-current fee.

No Refunds

Fees are generally non-refundable. We do not provide refunds or credits for partial subscription periods, early termination, or unused features, except where required by law or at Synesai's sole discretion.

Taxes

All fees are exclusive of taxes, levies, or duties imposed by taxing authorities. You are responsible for any sales, use, GST, VAT, or similar taxes that apply to your subscription (excluding taxes on our income).

Changes in Fees

We may revise our fees with at least 30 days' notice to you. Fee changes typically apply from the start of your next billing cycle or subscription renewal. If you do not agree to a fee increase, you may cancel your subscription before the new fees take effect.

Service Availability and Support

Availability

Synesai aims to provide a reliable and accessible service, but we do not guarantee 100% uptime or error-free operation. The Service is generally available 24 hours a day, 7 days a week.

Downtime may occur due to:

  • Scheduled maintenance (we will try to schedule during low-usage hours)
  • Urgent security updates
  • Unforeseen technical issues
  • Third-party service outages

No Guaranteed Uptime

We do not warrant that the Services will be uninterrupted or error-free. The Service's availability can be affected by factors outside of our control. You acknowledge that occasional downtime is normal for cloud services.

Support

We provide customer support through email at [email protected] and our online help center. We aim to respond to support requests within 1-2 business days. While we strive to resolve issues promptly, we do not guarantee any specific resolution time.

Updates

Synesai regularly deploys updates, bug fixes, and new features. We reserve the right to modify the Service at our discretion. While we endeavour to maintain the overall utility of the Services, specific features may be modified or retired as the platform evolves.

Continuous Development and Platform Evolution

Evolving Platform

Synesai is an AI-native software platform operating in a rapidly evolving space. We are committed to delivering the latest capabilities and improvements to you as quickly as possible, which means we release updates and new features frequently.

Acknowledgment of Change

By using the Services, you acknowledge that:

  • The platform will undergo regular updates, modifications, and improvements
  • Features may be introduced, enhanced, or retired over time
  • While we test our releases thoroughly, occasional issues may occur following updates
  • Some updates may be deployed without prior notice

Our Commitment

We are committed to:

  • Maintaining high engineering standards and testing practices
  • Addressing issues promptly when they are identified
  • Keeping communication channels open so you can report any problems ([email protected])
  • Providing notice where practicable for changes that may significantly affect your workflows

Limitation of Liability for Platform Changes

To the maximum extent permitted by law, Synesai is not liable for any losses, disruptions, or damages arising from platform updates or the introduction of new features, provided we act in good faith to resolve any issues that arise.

Termination and Suspension

Term and Renewal

These Terms commence when you first accept them or use the Service, and continue until your subscription or account is terminated. Subscriptions renew automatically unless cancelled before the renewal date.

Your Termination Rights

You may terminate your subscription at any time by:

  • Cancelling through the platform settings
  • Providing 30 days' written notice to Synesai

Termination will take effect at the end of your current billing cycle. We do not provide pro-rated refunds for early termination.

Our Suspension/Termination Rights

We reserve the right to suspend or terminate your access under the following circumstances:

For Breach: If you violate any material provision of these Terms (including the Acceptable Use Policy) and do not cure the violation within a reasonable time after notice (if cure is possible).

For Non-Payment: If you fail to pay subscription fees within the specified payment terms and remain delinquent after receiving a reminder.

For Serious Violations: In cases of serious or immediate harm (e.g. illegal activity, security threats), we may suspend or terminate immediately without prior notice.

For Legal Reasons: If continuing to provide the Service becomes illegal or if required by a governmental authority.

Effect of Termination

Upon termination or expiration of your subscription:

  • Your right to access and use the Service will cease
  • We will maintain your Customer Data for 30 days to allow you to retrieve your information
  • After the 30-day retrieval period, we will delete your Customer Data except as required by law
  • You will not receive refunds for unused subscription periods

We strongly recommend that you export any data you need to retain prior to your termination date.

Survival

Termination does not relieve either party of obligations incurred prior to termination or any terms that by their nature are intended to survive (including Ownership and Data Rights, Fees and Payment, Disclaimer of Warranties, Limitation of Liability, Indemnification, and General Provisions).

Disclaimer of Warranties

"As-Is" Service

Synesai provides the Services on an "AS IS" and "AS AVAILABLE" basis, to the maximum extent permitted by law. While we strive to maintain high quality and reliability, we make no warranty that the Services will meet all of your requirements, or that results from the use of the Services will be accurate or reliable.

No Implied Warranties

To the fullest extent permitted by applicable law, Synesai disclaims all warranties and representations, whether express, implied, or statutory, including but not limited to:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Title and non-infringement
  • Warranties arising out of course of dealing or usage of trade

Not Professional Advice

We do not warrant that using Synesai will ensure your business records are compliant with all laws. You should use your judgment and consult professional advisors.

Third-Party Services

Synesai does not warrant or support any third-party service or content. Information, analyses, or outputs from AI components or third-party data sources are provided "as is" without warranty of accuracy or completeness.

Consumer Law

Some jurisdictions do not allow the exclusion of certain warranties. In such cases, any required warranty is limited in duration to 30 days from the start of your use of the Service. Nothing in this Agreement excludes, restricts or modifies any consumer rights under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or similar laws.

Limitation of Liability

Liability Cap

To the maximum extent permitted by law, Synesai's total liability to you for any and all claims arising out of or related to these Terms or your use of the Services will not exceed the amount actually paid by you to Synesai in the 3 months immediately preceding the event giving rise to the liability.

If no fees were paid (for example, during a free trial), Synesai's liability is limited to AUD $1.

Exclusion of Consequential Damages

In no event will Synesai or its directors, officers, employees, affiliates, agents, or licensors be liable to you for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, goodwill, business opportunity, or data

arising out of or in connection with the use or inability to use the Service, even if Synesai has been advised of the possibility of such damages.

Examples

Synesai will not be liable for:

  • Financial losses or penalties due to errors or missed deadlines
  • Losses due to Service unavailability or downtime
  • Loss of data if you failed to backup
  • Claims by third parties except as expressly provided

Proportionate Liability

A party's liability will be reduced proportionately to the extent the relevant liability was caused or contributed to by the actions (or inactions) of the other party, including any failure to mitigate loss.

Exceptions

Nothing in these Terms excludes or limits liability that cannot be excluded by law, including liability for:

  • Death or personal injury resulting from negligence
  • Fraud or fraudulent misrepresentation
  • Any liability which by law cannot be limited

Where applicable law imposes non-excludable warranties or remedies, our liability for breach is limited (at our discretion) to resupplying the Services or paying the cost of resupply.

Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Synesai and its affiliates, officers, agents, and employees from any claim, demand, losses, or damages, including reasonable attorney's fees, arising out of or related to:

  • Your misuse of the Services
  • Your breach of any provision of these Terms
  • Any data or content you submit that violates third-party rights or laws

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us. This indemnity does not apply to the extent the issue was caused by our own breach or negligence.

General Provisions

Governing Law and Jurisdiction

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of laws principles. You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales, Australia for the resolution of any disputes arising out of or relating to these Terms or the Services.

The United Nations Convention on Contracts for the International Sale of Goods (1980) does not apply to these Terms.

Dispute Resolution

We value our relationship with you and aim to resolve disputes amicably. Before filing a legal claim, you agree to first contact us at [email protected] and provide a brief written description of the dispute. We will attempt in good faith to resolve the matter informally within 30 days.

If we are unable to resolve the dispute informally, the matter will be referred to mediation administered by the Australian Disputes Centre in accordance with the Australian Disputes Centre Guidelines for Commercial Mediation.

If mediation does not resolve the dispute, either party may commence proceedings in the courts of New South Wales, Australia.

Unless prohibited by law, you agree that any dispute will be resolved on an individual basis, and not as part of any class or representative action.

Nothing in this clause will prevent either party from seeking urgent injunctive or equitable relief from a court of appropriate jurisdiction.

Changes to Terms

Synesai may update these Terms from time to time. When we make changes:

  • We will update the "Last Updated" date at the top
  • For material changes, we will provide notice through the Service or via email
  • Material changes become effective no sooner than 30 days after notice

If you do not agree to the revised Terms, you should stop using the Service and may cancel your account before changes take effect. Continued use after the effective date constitutes acceptance.

Entire Agreement

These Terms (together with any Order Forms and documents incorporated by reference, including our Privacy Policy) constitute the entire agreement between you and Synesai regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable (if possible) or deemed severed, and the remaining provisions will remain in effect.

Waiver

No waiver of any term by either party shall be effective unless in writing. A failure or delay in exercising any right does not constitute a waiver.

Assignment

You may not assign or transfer these Terms without Synesai's prior written consent. Synesai may freely assign these Terms (for example, to an affiliate or in connection with a merger).

Relationship of the Parties

You and Synesai are independent contracting parties. These Terms do not create a partnership, joint venture, agency, or employment relationship.

Force Majeure

Neither party will be liable for failure or delay in performance caused by circumstances beyond reasonable control, including acts of God, natural disasters, war, terrorism, civil disturbances, denial-of-service attacks, internet or utility failures, governmental actions, or pandemics. This provision does not excuse payment obligations.

No Third-Party Beneficiaries

These Terms do not confer any benefits on any third party unless expressly stated.

Publicity

You agree that we may advertise or publicise the fact you are a customer of ours, for example on our website or in our promotional material, and you grant us a right to display and use your logo and branding solely for that purpose.

Data Processing

We collect, hold, disclose and use personal information in accordance with our Privacy Policy. For customers requiring a formal Data Processing Addendum (DPA) that incorporates Standard Contractual Clauses and meets GDPR/UK GDPR requirements, please contact us at [email protected].
